Terms of Use

1. Purpose of the Service

NEXUS AI provides a multi-tenant SaaS platform to activate specialized AI agents (a "governed AI workforce") that perform business tasks under the rules you define, producing verifiable work certificates.

The Service is intended for professional use by businesses. You represent that you are authorized to bind the entity you represent.

2. Account and security

You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity under your account.

You must notify us promptly of any unauthorized access. We may suspend an account in case of security risk or breach of these Terms.

3. Acceptable use

You agree not to use the Service for unlawful, fraudulent, deceptive purposes or in violation of third-party rights; not to attempt to circumvent security, governance or data-sovereignty controls; and not to overload the infrastructure.

Sensitive agent actions (payments, large discounts, critical decisions) remain subject to your approval per your governance configuration.

4. Governance and verifiable work

Every significant agent action produces a cryptographically chained certificate (SHA-256). These certificates are proof of work but do not replace your duty of reasonable oversight.

You remain responsible for decisions made based on agent outputs.

5. Artificial-intelligence transparency

Content, analyses and recommendations produced by the Service are generated by artificial-intelligence models (large language models). Despite our governance disciplines (FACT / INFERENCE / RECOMMENDATION labeling, contract validation, certificates), these models can produce errors, approximations or omissions.

Human oversight is required: you must review and validate any generated content before relying on it towards third parties. Agent "autopilot" mode is never enabled by default: it is earned gradually through the Trust Score and remains capped for critical actions.

6. Pricing and billing

The Service is offered on a subscription and/or usage basis as presented at sign-up. Unless stated otherwise, amounts are exclusive of applicable taxes (GST/QST in Quebec, local taxes in Africa).

A free trial may be offered. After the trial, the selected plan applies. You may cancel at any time; started periods are non-refundable except where mandatory law provides otherwise.

7. Intellectual property

The platform, its code, models and documentation remain the property of NEXUS AI. You retain ownership of your data and content ("Customer Content").

You grant us a limited license to host and process your Customer Content solely to provide the Service.

8. Data processing on behalf of the customer

Where we process personal information contained in your Customer Content, we act on your behalf and on your documented instructions, in accordance with s. 18.3 of Quebec Law 25, art. 28 GDPR and the applicable laws of your markets (Senegal, Benin, Nigeria, South Africa, etc.).

In that capacity we undertake to: (a) process such information solely to provide the Service; (b) ensure confidentiality (personnel bound by confidentiality commitments); (c) use only the sub-processors listed at /legal/sous-traitants, with thirty (30) days prior notice before any addition or replacement allowing you to object; (d) reasonably assist you with data-subject requests and privacy impact assessments (PIAs); (e) notify you of any confidentiality incident without undue delay; (f) upon contract termination, delete or return the information within sixty (60) days, except where retention is legally required.

A detailed data processing agreement (DPA) can be signed on request for customers who require one.

9. Availability and support

We use reasonable efforts to keep the Service available, without warranty of uninterrupted operation. Planned maintenance may occur.

Support level depends on your plan.

10. Limitation of liability

To the extent permitted by law, NEXUS AI is not liable for indirect damages, lost profits or lost data. Our aggregate liability is capped at the amounts paid during the twelve (12) months preceding the event.

The Service is provided "as is". No implied warranties beyond what is legally mandatory.

11. Termination and data return

Either party may terminate as provided. In case of uncured material breach, we may suspend or terminate the Service.

Upon termination, you have sixty (60) days to export your data in a structured, commonly used format via an encrypted export. After this period, data is deleted or anonymized, except where retention is legally required.

12. Governing law

These Terms are governed by the laws of Quebec and the laws of Canada applicable therein. Any dispute will be brought before the competent courts of the judicial district of Montreal (Quebec, Canada), subject to mandatory public-order provisions applicable to customers in Africa, notably OHADA law for West and Central Africa.
